Licence to acquire a qualifying holding in a brokerage company
A qualifying holding is a direct or indirect holding in a brokerage company, which means a 10% or more of voting rights or capital in the brokerage company.
A qualifying holding in a brokerage company can only be obtained by persons who demonstrate the appropriate qualities and facts (reputation, financial strength, knowledge and skills). These persons must be trustworthy (fit and proper).
A person who intends to acquire a qualifying holding (hereinafter: the future qualifying holder) must obtain an authorization from ATVP for the acquisition of a qualified holding before acquiring it.
The amount of the share of voting rights or share in the capital is determined in the authorization for the acquisition of a qualifying holding, for the acquisition of which an authorization is issued, within the range specified by law.
Before any further acquisition of shares and where this would exceed the range for which the authorization for the acquisition of a qualified holding was already given, the qualifying holder must obtain a new authorization to acquire a qualifying holding.
The holder of the shares of the brokerage company, which she/he acquired or which she/he holds against the law, because she/he did not obtain authorization to acquire a qualifying holding from these shares, does not have voting rights in these shares.
License fee: for the acquisition of a qualifying holding in a brokerage company, the fee is 1,000 points, for each subsequent acquisition, on the basis of which the qualifying holder would exceed the range for which the already issued authorization to acquire a qualifying holding applies, the fee is 500 points. The point value is EUR 4,20.
